End User License Agreement

This is the End User License Agreement ("Agreement") between you ("you" or "Licensee") and GANUE Audio ("GANUE", "we", "us"), governing your use of GANUE's audio plugin software, including any accompanying documentation, presets, and updates (the "Software"). Your purchase itself is handled by the merchant of record named at checkout; this Agreement governs only your use of the Software after purchase. By installing, activating, or using the Software, you agree to the terms below. If you do not agree, do not install or use the Software.
1. License grant
Subject to this Agreement and to a valid license (a purchased .ganuelicense
file, or an active trial period as described in Section 4), GANUE grants you a
personal, non-exclusive, non-transferable license to install and use the Software
for your own music production, mixing, mastering, or sound design work, commercial
or non-commercial. You may install the Software on multiple computers of your own
for your own personal/studio use. Because a licence file is not tied to any
particular computer, there is no separate "deactivation" step: moving to a new
machine means installing the Software there and placing the same .ganuelicense
file in the licence folder (Windows: %APPDATA%\GANUE\Licenses\; macOS:
~/Library/GANUE/Licenses/).
The Software is licensed, not sold. GANUE and its licensors retain all right, title, and interest in the Software, including all copyright and other intellectual property rights, except for the limited rights expressly granted to you here.
2. What you may not do
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or coefficient/parameter data of the Software, in whole or in part, except and only to the extent that applicable law expressly permits such activity notwithstanding this restriction (for example, interoperability rights recognized under EU Directive 2009/24/EC and equivalent local implementations), and then only to the minimum extent necessary to achieve that lawful purpose.
- Remove, obscure, or alter any copyright, trademark, or other proprietary notice contained in the Software.
- Sublicense, rent, lease, sell, or otherwise transfer the Software or your license to it to a third party, except as part of a good-faith resale of your entire license together with all associated rights, with prior written notice to GANUE.
- Use the Software to develop, train, or improve a directly competing product, or to extract its sound-shaping behavior for incorporation into another product.
- Circumvent, disable, or interfere with the Software's license verification or trial mechanism.
3. Benchmarks and comparative claims
You may publish reviews, comparisons, and benchmark results involving the Software in good faith (for example, in a review, forum post, or video). Before publishing benchmark results that compare the Software's performance (CPU load, latency, or similar measured figures) against a competing product, we ask that you use a reasonably current version of the Software and disclose your test methodology, so readers can judge the comparison fairly. This section is a request for fair dealing, not a gag order -- honest, clearly described comparisons are always welcome.
4. Trial period
The Software may be run in a time-limited trial mode without purchase, as described at first launch. Every paid GANUE product carries a trial of 14 days, with no feature restrictions; there is no shorter or feature-limited trial for any paid product. Trial terms (what happens at expiry) are set out in the GANUE License FAQ, which is incorporated into this Agreement by reference. Continued use of the Software beyond the trial period requires a valid purchased license.
5. Updates
GANUE may, at its discretion, release updates to the Software. Your existing license entitles you to updates released for the same product for as long as GANUE makes them available; this Agreement applies equally to any updated version you install.
6. Ownership
All rights not expressly granted to you in this Agreement are reserved by GANUE. Nothing in this Agreement transfers ownership of the Software, its source code, its sound design, or any GANUE trademark to you.
7. No warranty
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GANUE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH EVERY HOST APPLICATION, OPERATING SYSTEM, OR HARDWARE CONFIGURATION.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GANUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF GANUE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GANUE'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE GIVING RISE TO THE CLAIM. Nothing in this Agreement limits any liability that cannot be limited or excluded under applicable law.
9. Termination
This Agreement is effective until terminated. Your license terminates automatically if you materially breach this Agreement (for example, by violating Section 2) and fail to cure that breach after notice from GANUE. Upon termination you must stop using the Software and destroy all copies in your possession. Sections 6, 7, and 8 survive termination.
10. Continuity
GANUE's license verification is fully offline (see the License FAQ). This Agreement, and your right to use a Software version you have already licensed, is not conditioned on GANUE's continued operation, and does not expire or require renewal.
